Terms of Service

Last updated: 24 October 2026

These Terms of Service ("Terms") govern access to and use of the Reconcio cloud service available athttps://app.reconcio.pro (the "Service"), provided by Dmitrii Sinichkin, an individual based in Tashkent, Uzbekistan ("we", "us", "Provider"). We intend to transfer the Service to a company we will establish; section 16 allows us to assign these Terms to it without a new signature. By creating an account or using the Service, the person or entity on whose behalf the account is created ("Customer", "you") agrees to these Terms. If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind it.

These Terms apply to the cloud Service only. Installation of the software on the Customer's own infrastructure ("self-hosted") is governed by a separate Software License Agreement, providedon request.

1. The Service

1.1. The Service is a software tool that compares data sets uploaded by the Customer — for example, settlement reports of payment service providers and exports from the Customer's ledger — and shows matches, mismatches, missing and duplicate records, totals and reports.

1.2. The functionality, limits and price of the Service depend on the subscription plan chosen by the Customer as described on the pricing page or in an order form signed by the parties ("Plan").

1.3. We may develop and change the Service, provided that a change does not materially reduce the core functionality of the Customer's paid Plan during the current subscription period.

2. Accounts

2.1. The Customer must provide accurate account information and keep it up to date. Accounts are for individual users; credentials must not be shared.

2.2. The Customer is responsible for all activity under its accounts and API keys, for the users it invites and for their roles, and must notify us without undue delay atsupport@reconcio.pro of any unauthorised access.

2.3. The Service is intended for business use. Users must be at least 18 years old.

3. Acceptable use

The Customer must comply with the Acceptable Use Policy, which forms part of these Terms. We may suspend access, in proportion to the risk, if the Customer's use breaches it or threatens the security or stability of the Service; we will notify the Customer and restore access once the cause is removed.

4. Customer data

4.1. The files and data uploaded to the Service by or for the Customer ("Customer Data") remain the property of the Customer. The Customer grants us a limited right to host, process and transmit Customer Data solely to provide, secure and support the Service.

4.2. For personal data contained in Customer Data we act as a processor on the Customer's behalf under the Data Processing Agreement, which forms part of these Terms. Our processing of account data is described in the Privacy Policy.

4.3. The Customer is responsible for the lawfulness of Customer Data and for having all rights and consents required to upload it, including under its agreements with payment providers and banks.

4.4. Uploaded files and generated results are kept for the retention period of the Plan and then deleted automatically. The Customer may delete reconciliations at any time. We do not use Customer Data to train models or for any purpose other than providing the Service.

4.5. We may use aggregated and anonymised information about the use of the Service (for example, number of reconciliations or file sizes) that does not identify the Customer or any individual, to operate and improve the Service.

5. Results of reconciliation

5.1. The Service is a tool. Its results depend on the data, mapping, tolerances and settings chosen by the Customer. They are not an audit, an accounting, tax or legal opinion, or a confirmation of any balance or transaction.

5.2. The Customer is solely responsible for reviewing the results before relying on them, for its accounting records, financial statements and decisions taken on the basis of the results, and for keeping its own copies of source data.

6. Free trial and free audit

6.1. We may provide a free trial of a Plan for the period stated on the pricing page (currently 14 days). At the end of the trial the account is limited to the free functionality or suspended unless the Customer subscribes to a paid Plan. Customer Data of an expired trial is deleted after 30 days.

6.2. A free reconciliation audit performed on files sent to us by email is provided on a best-effort basis, without any warranty; the files are deleted after the audit is delivered.

6.3. Free services are provided "as is" (section 9.2), and our total liability for them is limited to USD 100.

7. Subscription, fees and payment

7.1. Paid Plans are billed in advance for the subscription period (monthly or annually) at the prices in force when the period starts. Prices are exclusive of VAT and other taxes, which are added where applicable.

7.2. Subscriptions renew automatically for the same period unless cancelled before the end of the current period. Cancellation takes effect at the end of the paid period; fees already paid are not refunded, except where required by law or expressly stated otherwise.

7.3. Until online payments are enabled, fees are paid against an invoice. If a payment provider or a merchant of record (for example, Paddle) is introduced, we will notify Customers in advance, and its terms of sale will also apply to the purchase.

7.4. If payment is overdue for more than 14 days, we may suspend the paid functionality after notifying the Customer. We may change prices for future periods with at least 30 days' notice.

8. Availability and support

We will make commercially reasonable efforts to keep the Service available as described in theService Level Agreement. Support is provided by email atsupport@reconcio.pro during the hours stated there.

9. Warranties and disclaimer

9.1. We warrant that we will provide the paid Service with reasonable skill and care and that it will perform materially as described in its documentation. The Customer's sole remedy for a breach of this warranty is that we correct the non-conformity or, if we cannot do so within a reasonable time, that the Customer terminates the affected subscription and receives a pro-rata refund of prepaid fees for the remaining period.

9.2. Except as expressly stated in these Terms and to the maximum extent permitted by law, the Service is provided "as is" and "as available". We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of results and uninterrupted or error-free operation.

10. Limitation of liability

10.1. Neither party is liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or data (other than our obligation to restore data from backups where available), however arising, even if advised of the possibility of such loss.

10.2. Each party's total aggregate liability arising out of or in connection with these Terms and the Service, in contract, tort (including negligence) or otherwise, is limited to the fees paid and payable by the Customer for the Service in the 12 months preceding the event giving rise to the claim.

10.3. The limitations in this section do not apply to the Customer's payment obligations, to a party's liability for fraud, wilful misconduct, death or personal injury caused by negligence, or to any liability that cannot be limited or excluded by applicable law.

11. Intellectual property

The Service, its software, documentation and trademarks are and remain the property of the Provider and its licensors. The Customer receives a non-exclusive, non-transferable right to use the Service during its subscription for its internal business purposes. Feedback that the Customer gives us may be used freely to improve the Service.

12. Confidentiality

Each party will keep confidential the non-public information of the other party that it receives in connection with the Service, use it only for the purposes of these Terms and protect it with at least reasonable care. Customer Data is the Customer's confidential information.

13. Term and termination

13.1. These Terms apply from the creation of the account until the account is closed.

13.2. The Customer may close its account at any time. Either party may terminate a subscription for material breach by the other party that is not remedied within 30 days of written notice.

13.3. On termination, access to the Service ends. The Customer may export its results before that date; Customer Data is then deleted within 30 days, except backups, which are overwritten within their rotation period. Sections 4.5, 5, 9.2, 10, 11, 12 and 15 survive termination.

14. Changes to these Terms

We may update these Terms. Material changes will be notified by email to account owners at least 30 days before they take effect. If the Customer does not agree, it may terminate before the effective date and receive a pro-rata refund of prepaid fees for the remaining period. Continued use after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Uzbekistan. The parties will first try to resolve any dispute through good-faith negotiation; failing that within 30 days, disputes are submitted to the competent courts of Tashkent, Uzbekistan. Proceedings may be held in English or Russian.

16. General

Neither party is liable for delay or failure caused by events beyond its reasonable control. The Customer may not assign these Terms without our consent; we may assign them to a successor of our business, including a company we establish to operate the Service, by notifying the Customer. If a provision is invalid, the rest remains in force. These Terms, together with the documents they refer to and any signed order form, are the entire agreement on their subject; in case of conflict, a signed order form prevails. The English version of these Terms prevails over any translation.
